Terms of Service
Version 2026-10-draft · Effective [EFFECTIVE DATE] · [LEGAL ENTITY NAME]
These terms govern use of SmartPOS, provided by [LEGAL ENTITY NAME], [REGISTERED OFFICE ADDRESS]. By creating a store you accept these terms on behalf of your business.
1. The service
SmartPOS is software for billing, inventory, purchases, customer credit (Khata), cash-drawer shifts and reports. It is not an accounting or tax-filing system and is not a substitute for professional tax, legal or accounting advice.
2. Accounts and security
- You are responsible for your staff accounts, roles and devices, and for keeping passwords confidential.
- Offline billing is available only on devices you authorise; you must revoke lost or shared devices promptly.
- Tell us immediately at [SUPPORT EMAIL] if you suspect unauthorised access.
3. Trial, subscription and payment
- New stores receive a free trial. Paid plans are billed monthly in advance through our payment processor; prices are shown before payment and GST is charged as applicable.
- If a payment fails, access continues for the plan's grace period and then becomes read-only. You can always export your data.
- You may cancel at any time; cancellation takes effect at the end of the paid period. Fees already paid are not refundable except where required by law or stated in our refund policy [LINK/TEXT TO BE CONFIRMED].
4. Your data and your customers
- You own the business data you enter. We process your customers' personal data on your behalf (see the Privacy Policy).
- You confirm you have a lawful basis and any required consent for customer data you enter, including mobile numbers and Khata records, and for any messages you send.
- Khata records are an aid to your bookkeeping; recovering dues and complying with lending laws remain your responsibility.
5. Tax and invoices
GST calculations, HSN codes, rates and invoice formats depend on the settings you choose. You are responsible for verifying them with your tax professional. GST invoicing is enabled for a store only after its tax configuration has been reviewed.
6. Acceptable use
No unlawful use, reverse engineering, attempts to access other merchants' data, automated abuse, or resale of the service without written permission.
7. Availability and support
We aim for high availability but do not guarantee uninterrupted service. Planned maintenance will be announced where possible. Support: [SUPPORT EMAIL].
8. Referral agents
Agents participating in the referral programme are bound by a separate written agent agreement; commissions are paid only as set out there.
9. Liability
To the extent permitted by law, our aggregate liability is limited to the fees you paid in the three months before the claim, and we are not liable for indirect or consequential losses. [CAP AND CARVE-OUTS TO BE CONFIRMED BY COUNSEL]
10. Suspension and termination
We may suspend access for non-payment, security risk or breach of these terms. On termination you may export your data for [N] days.
11. Changes, law and disputes
We may update these terms with notice to account owners. Indian law applies; courts at [CITY], India have jurisdiction. Grievances: see Grievance redressal.
